Developer Agreement

This Developer Agreement (the "Agreement") sets out the terms that apply to developers who wish to build modules, add-ons, themes and integrations for the WISECP software and offer them to users through the WISECP Marketplace. The Agreement is presented for electronic approval during the developer application; anyone completing the application is deemed to have read, understood and accepted it.

Parties and Definitions

  • WISECP LLC: WISECP Limited Liability Company, the owner of the WISECP brand and of all intellectual and industrial property rights in the software.
  • Developer: The natural or legal person whose application has been approved and who holds developer status in their own name or on behalf of the organization they represent.
  • Product: Any software component developed by the Developer for the WISECP software, including modules, add-ons, themes and integrations.
  • Marketplace: The official sales and distribution channel connected to wisecp.com through which Products are offered to WISECP users.
  • Developer License: The license key issued for use in development and testing processes.
  • Developer Account: The account through which the Developer manages applications, products, publishing and earnings.

Purpose and Scope

The purpose of the Agreement is to grant developer status to approved applicants and to set out the rules for developing Products, having them reviewed, publishing and selling them on the Marketplace, and supporting them.

Application and Approval

  • To become a developer, the developer application form on wisecp.com must be completed. Every application is reviewed, and suitable applications are approved. WISECP LLC reserves the right to reject applications without stating a reason.
  • The Developer accepts and declares that the information provided in the application is accurate and current, and undertakes to update it without delay when it changes.
  • An approved Developer may be listed in the developer directory on wisecp.com.

Developer License

  • A free WISECP developer license is assigned to the Developer for development, testing and similar work.
  • The developer license has no fixed end date and may be used only in development and test environments. It may not be used commercially, transferred, rented or made available to third parties. If misuse is detected, the license and the Developer Account are terminated.

Product Standards and Review

  • The Developer accepts and declares that every Product will be submitted fully tested and ready for use.
  • Before a Product is published, the Developer provides a source copy to the WISECP LLC team for review. Files responsible for the Product's licensing and code protection may be excluded from the review. Subsequent releases of a published Product may also be subject to review.
  • The Developer accepts and declares that all necessary security measures will be taken to prevent vulnerabilities in the Products.
  • Products may not contain any malicious code (viruses, spyware, backdoor access or similar). If detected, the Developer Account is terminated without question, and the Developer is liable for all resulting damages.
  • Products may not contain any function that violates applicable law and may not infringe the copyright or intellectual property rights of third parties.
  • Review by WISECP LLC does not shift responsibility for the Product away from the Developer; all liability arising from Products rests with the Developer.

Premium Developer Subscription and Publishing

Publishing Products on the Marketplace is subject to the paid Premium Developer subscription, renewed annually. The current subscription fee is published on wisecp.com.

  • Unlimited product submissions and resubmissions can be made throughout the subscription period; renewing the subscription keeps publishing and resubmission access active.
  • Products are offered with WISECP-managed secure packaging and platform license protection for controlled Marketplace distribution.
  • Published Products may be made discoverable to WISECP users through worldwide Marketplace distribution and WISECP email newsletters.

Sales and Revenue

  • Product sales, licenses and renewals run on the Developer's own WISECP installation; the customer buys the Product from the Developer, and the Developer collects the payment directly.
  • Products may be offered for a fee or free of charge; the sales price of paid Products is set by the Developer, and sales revenue belongs to the Developer.
  • All obligations relating to sales, including invoicing, taxes, refunds and customer relations, rest with the Developer.

Certified Developer

The Certified Developer mark identifies developers who have passed review and keep their listings in good standing. To carry the mark, the Developer must:

  • Have published at least 3 add-ons or themes on the Marketplace,
  • Hold an average rating of 4.0 or higher across published listings,
  • Have passed the WISECP code and security review,
  • Keep listings compatible with the current WISECP release,
  • Answer client questions within 24 hours.

Certification is reviewed periodically, and the mark can be removed if these standards are not met.

Support and Maintenance

  • The Developer accepts and declares that they will provide support to users of their Products throughout the service period and remain reachable.
  • The Developer exercises due care to fix errors, issues and incompatibilities arising in their Products within a reasonable time.
  • The Developer ensures compatibility of their Products with newly published releases of the WISECP software within a reasonable time.

Intellectual Property

  • The intellectual and industrial property rights in a Product remain with the Developer. The Developer grants WISECP LLC a non-exclusive right to offer, promote and distribute the Product on the Marketplace.
  • The Developer may not use the WISECP brand or logo in the branding of their own products or services without written permission; descriptive references such as "built for WISECP" are permitted.
  • Reverse engineering of the WISECP software's source code is prohibited; encrypted code may not be exposed, and the software's code may not be copied into Products without permission.

Data and Privacy

The Developer processes installation and user data accessed through their Products only to the extent the Product's function requires; such data may not be used for other purposes or shared with third parties, and the Developer complies with applicable data protection law.

Similar Products

  • A Product similar to one already published on the Marketplace may be developed only with prior approval from WISECP LLC and where at least one of the following applies: being the owner or maker of the underlying service; low user satisfaction with the existing product; the new product being clearly more advanced and comprehensive; the new product being more economical.
  • The first-party provider of a service may prepare its own official product and publish it on the Marketplace for a fee or free of charge; in that case a Developer who has built a product for the same service may not raise any claim.

Suspension and Termination

  • The Agreement is of indefinite duration. However, if no new Product is published within 3 months of developer approval or of the last Product release, the Developer Account may be suspended.
  • WISECP LLC has the right to suspend or terminate the Developer Account where one or more provisions of the Agreement are violated, or at its own discretion.
  • Upon termination, the publication of the Products on the Marketplace is stopped. The acquired rights of users who previously obtained the Products are preserved.
  • WISECP LLC is not a party to the relationship between the Developer and the user; where its involvement is unavoidable, it acts fairly and with due care.

Changes to the Agreement

WISECP LLC may amend this Agreement in whole or in part. Amendments take effect on the date they are published on wisecp.com; material changes are additionally announced to the Developer. Continuing developer activities after a change constitutes acceptance of the current terms.

Notices

Notices between the parties are made through WISECP LLC's published email address and the email address registered in the Developer's account. The Developer accepts that the registered email address is a valid notification address and undertakes to update it without delay when it changes.

Governing Law and Disputes

This Agreement is governed by the laws of the United States and of the State of Delaware. The courts of the State of Delaware, United States, have jurisdiction over disputes arising from the application or interpretation of the Agreement.

Entire Agreement and Severability

If any provision of this Agreement becomes partly or wholly invalid, the remaining provisions continue in full force.
